These Terms of Service (“Terms”) govern your access to and use of Kadefy.ai, a trade name of JMDJ Beheer B.V. Please read these Terms carefully before using our platform. By accessing or using any Kadefy.ai service, you agree to be bound by these Terms. These Terms apply to all of our products and services, including:

These products are collectively referred to as “Kadefy.ai services,” “our services,” or “our platform” throughout these Terms.

1. Acceptance of Terms

By creating an account or using any part of Kadefy.ai – including the AI Chatbot Builder, Social.Kadefy.ai, and Kadefy MarketingOS – Social Approver – you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page. Your continued use of any Kadefy.ai service after any modifications indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically.

3. Eligibility

You must be at least 18 years old to use Kadefy.ai services. By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

4. User Accounts

When you create an account with Kadefy.ai, you agree to the following:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials and not share them with others.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account, including activity across all Kadefy.ai products such as the AI Chatbot Builder, Social.Kadefy.ai, and Kadefy MarketingOS – Social Approver.

5. Use of Services

When using any Kadefy.ai product or service, including the AI Chatbot Builder, Social.Kadefy.ai, and Kadefy MarketingOS – Social Approver, you agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to our systems, other user accounts, or any restricted areas of the platform.
  • Use the service to generate harmful, abusive, misleading, or inappropriate content.
  • Interfere with or disrupt the operation of the platform or the servers and networks connected to it.
  • Reverse-engineer, decompile, or attempt to extract the source code of our software.
  • Violate the terms of service of any third-party platform (including TikTok, Instagram, or Facebook) when using Social.Kadefy.ai or Kadefy MarketingOS – Social Approver.

6. Intellectual Property

All content, features, and functionality of Kadefy.ai – including but not limited to the design, code, text, graphics, and logos across the AI Chatbot Builder, Social.Kadefy.ai, and Kadefy MarketingOS – Social Approver – are the intellectual property of JMDJ Beheer B.V. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of our platform without our prior written consent. You retain ownership of all content you upload to your knowledge base or publish through our tools.

7. Third-Party Links and Platforms

Kadefy.ai services may integrate with or contain links to third-party websites and platforms – including TikTok, Instagram, Facebook, and other social media services – that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party platform. You access third-party services at your own risk and are responsible for complying with their respective terms of service.

8. Payment Terms

Kadefy.ai offers both free and paid subscription plans. For paid plans:

  • All payments are processed securely through Mollie, our payment provider.
  • Subscriptions are billed monthly and automatically renew at the end of each billing period.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing period.
  • We reserve the right to change pricing with 30 days advance notice.

9. Limitation of Liability

To the maximum extent permitted by law, JMDJ Beheer B.V. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of any Kadefy.ai service, including the AI Chatbot Builder, Social.Kadefy.ai, and Kadefy MarketingOS – Social Approver. This includes, but is not limited to, damages for loss of profits, data, or business opportunities. Our total liability for any claims related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless JMDJ Beheer B.V. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of any Kadefy.ai service, your violation of these Terms, or your violation of any rights of a third party.

11. Our Products and Services

These Terms of Service apply to all products and services offered by Kadefy.ai, including:

  • Kadefy.ai – Our main website, dashboard, and APIs (https://kadefy.ai)
  • AI Chatbot Builder – Our AI-powered chatbot creation and management tool, allowing users to build and deploy chatbots with custom knowledge bases.

  • Social.Kadefy.ai – Our social media management platform for scheduling, publishing, and managing content across multiple social channels (https://social.kadefy.ai)
  • Kadefy MarketingOS – Social Approver – Our content approval application available on third-party platforms (including TikTok), enabling teams to review and approve social media content before publishing.

  • Embeddable Widgets – Chat widgets and other components that can be integrated into third-party websites.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Amsterdam, the Netherlands.

13. Termination

We may terminate or suspend your access to any or all Kadefy.ai services at any time, with or without cause, and with or without notice. Upon termination, your right to use the service ceases immediately. You may also delete your account at any time through your dashboard settings. Provisions of these Terms that by their nature should survive termination shall remain in effect.
